**Responsible – Acquiring and Purchasing of Goods Terms of Service** **We are an e-commerce platform ("Site") that buys a multitude of high quality second hand garments from sellers. It is our passion to make fashion more sustainable and ethical.** **Please read the following important terms and conditions ("Terms") before you sell anything to us and check that they contain everything which you want and nothing that you are not willing to agree to.** This contract sets out: • your legal rights and responsibilities; • our legal rights and responsibilities; and • certain key information required by law. These Terms are governed by and construed in accordance with the laws of Northern Ireland. If you are a consumer and have your habitual residence in the EU or the US, you additionally enjoy the protection afforded to you by mandatory provisions of the law of your country or state of residence. In this contract: • ‘**We**’, ‘**us**’ or ‘**our**’ means Reform Clothing Limited; and • ‘**You**’ or ‘**your**’ means the person using our Site to sell goods to us. No other languages will apply to this contract. **2 Your privacy and personal information** 2.1 Our **Privacy Policy** is available at [https://www.https://www.getresponsible.com/pages/privacy] Your privacy and personal information are important to us. Any personal information that you provide to us will be dealt with in line with our Privacy Policy, which explains what personal information we collect from you, how and why we collect, store, use and share such information, your rights in relation to your personal information and how to contact us and supervisory authorities if you have a query or complaint about the use of your personal information. **3 Selling to us** 3.1 We offer an acquisition service whereby we may buy your goods into our store for resale and give you money in the form of transfer via PayPal or store credit by return (**acquisition**). 3.2 The money or store credit will be determined by us acting reasonably and in good faith and using our Quality Assessment Criteria set out at clause 6. 3.3 The Acquisition process shall be as follows: 3.3.1 Upon receipt of your request to sell the goods and discussion with the company, you will be provided with a label to send the goods to us. For the avoidance of doubt the cost of sending your goods to us will be covered by us, the company. 3.3.2 When we receive confirmation that your order has been successfully sent, we will make payment to you of the agreed amount as set out in our communications with you. All Acquisition goods shall be subject to these Terms. **4 Delivery** 4.1 We shall provide you with a label that is prepaid for you to send your goods to us. If you choose to send your goods to us in another way, you will be responsible for this cost. 4.2 The delivery of your goods to us will be subject to a time lapse of 7 working days. 4.3 Delivery of the goods will take place when we receive your goods at the address we gave to you. **5 Risk and Ownership** 5.1 You are responsible for the goods until delivery has taken place. In other words, the risk in the goods passes to us when we take possession of the goods. 5.2 You will own the goods until payment is made by us. **6 Price and Payment** 6.1 The price of the goods shall be estimated and determined based on our Quality Assessment Criteria. We ask that you are honest and provide us with the correct condition of your goods. Please note that we reserve the right to change your valuation offer at any time. Upon inspection of your item at our warehouse, if the condition is different to that previously described by you, we reserve the right to withdraw the valuation offer, reject your item and cancel payment. If the item is rejected you will be responsible for the cost of the goods being returned to you and your offer will be voided. 6.2 The price of the goods: 6.2.1 is in pounds sterling (£)(GBP) unless we require or agreement to payment in another currency (please contact us for further information); 6.2.2 includes VAT at the applicable rate; and 6.2.3 excludes any cost of returning the goods. 6.3 We will pay you via PayPal or in the form of Store Credit available to use at [www.getresponsible.com](http://www.getresponsible.com). Please note that Store Credit will be higher than a PayPal transfer value. 6.4 We will do all that we reasonably can to ensure that all of the information you give us when paying for the goods is secure by using an encrypted secure payment mechanism. However, in the absence of negligence on our part, any failure by us to comply with this contract or our Privacy Policy (see clause 2) or breach by us of our duties under applicable laws we will not be legally responsible to you for any loss that you may suffer if a third party gains unauthorised access to any information that you give us. 6.5 Your payment will only be sent when the goods are verified and assessed. 6.6 **Nature and condition of the goods**. 6.7 We shall assess and indicate the quality of the goods in accordance with the below criteria: 6.7.1 **Excellent:** new with price tags 6.7.2 **Great:** new without price tags 6.7.3 **Good:** minor signs of wear and tear. ("**Quality Assessment Criteria**"). **7 Limit on our responsibility to you** 7.1 Except for any legal responsibility that we cannot exclude in law (such as for death or personal injury) or arising under applicable laws relating to the protection of your personal information, we are not legally responsible for losses that were not foreseeable to you and us when the contract was formed; 7.2 losses that were not caused by any breach on our part; 7.3 business losses; or 7.4 losses to non-consumers. 8 **Third party rights** 8.1 No one other than a party to this contract has any right to enforce any term of this contract. 9 **Disputes** 9.1 We will try to resolve any disputes with you quickly and efficiently. If you are unhappy with the goods you ordered, our service to you or any other matter, please contact us as soon as possible using the contact details set out at the top of this page. 10 **Governing Laws and Jurisdiction** 10.1 The laws of Northern Ireland apply to this contract, although if you are resident elsewhere you will retain the benefit of any mandatory protections given to you by the laws of that country. 10.2 Any disputes will be subject to the exclusive jurisdiction of the courts of Northern Ireland.
